Issue of Equity and Total Voting Rights
nmcn PLC ("nmcn" or "the Company" or "the Group") today
announces that it has issued and allotted 288,608 new ordinary
shares of 10p each in the capital of the Company ("New Ordinary
Shares"). The New Ordinary Shares have been allotted to the EBT
Jersey - nmcn PLC ("EBT") at 10p per New Ordinary Share (par
value), in order to satisfy the vesting of share awards to certain
directors, granted in 2016, under the Company's Performance Share
Plan ("PSP"), which were subject to a performance condition which
the Company can confirm has been satisfied in full.
Applications will be made for the New Ordinary Shares to be
admitted to the premium listing segment of the Official List of the
UK Listing Authority and to trading on the Main Market of the
London Stock Exchange ("Admission"). It is expected that Admission
will take place on or around 22 May 2019.
It is anticipated that the New Ordinary Shares will vest under
the PSP on 7 June 2019 and be transferred to the beneficiaries
under the PSP. Further announcements will be made as
appropriate.
Total Voting Rights
Following Admission, the Company's issued share capital,
excluding shares held in treasury of 32,500 ordinary shares,
consists of 10,406,108 ordinary shares of 10p each.
The above figure of 10,406,108 may be used by shareholders as
the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change to
their interest in, the Company under the Financial Conduct
Authority's Disclosure Guidance and Transparency Rules.
