Update on CMA process
The NSF Board is pleased to announce that, having now completed its detailed pre-notification engagement with the Competition and Markets Authority ("CMA"), NSF has made the requisite CMA filing in relation to its Offer for Provident.
As a result, the 40 working day period for the CMA's Phase 1 review process has commenced today, 29 May 2019. NSF has acknowledged to the CMA that there is a realistic prospect of a significant lessening of competition ("SLC") in relation to home credit and has identified a clear cut remedy to that SLC by way of the divestment (through demerger) of Loans at Home. A de-merged Loans at Home will be independent of NSF, and continue to be a viable and effective competitor for home credit, especially given its strong market position as the UK's third largest provider of home credit. (1) As stated since our original announcement pursuant to Rule 2.7 of the Code, as the demerger remains subject to review by the CMA, NSF reserves the right to implement an alternative structure as a Phase 1 remedy, should one be required. The NSF Board continues to expect that an agreement in principle will be reached with the CMA on an appropriate remedy for the SLC during the Phase 1 review process.
The NSF Board will continue to work constructively with the CMA during this period and is also continuing its engagement with all Provident shareholders as NSF works towards satisfying the remaining conditions to the Offer.
