Directors' Dealings

IQGEO Group plc (LSE:IQG, "Company" or "IQGEO") received notification on 13 December 2019 from Kestrel Partners LLP ("Kestrel") that on 13 December 2019 it purchased, on behalf of its discretionary clients, 14,179 ordinary shares of 2p each ("Shares") in the Company at a price of GBP0.53 per share for accounts managed by Kestrel.

The notification by Kestrel also included the matters set out below:

Kestrel is the investment manager to Kestrel Opportunities, a cell of Guernsey Portfolios PCC Limited ("Kestrel Opportunities"), and various other clients. This disclosure relates to indirect Shares and voting rights in the Company that are managed by Kestrel on a discretionary basis.

Mr Royde is a partner of, and holds a beneficial interest in, Kestrel. Mr Royde is also a shareholder in Kestrel Opportunities and is therefore deemed to have a beneficial interest in Kestrel Opportunities' entire legal holding in IQGEO.

Prior to this purchase of Shares, Kestrel on a combined basis indirectly held Shares and voting rights over 12,186,315 Shares in the Company.

Of the purchase of Shares, none were for Kestrel Opportunities which holds 9,267,659 Shares, and therefore all were for accounts in which Mr Royde has no beneficial interest, who, following this transaction, hold 2,932,835 Shares in the Company.

Following this transaction and on a combined basis, Kestrel indirectly holds voting rights over 12,200,494 Shares in the Company, which represents approximately 24.65% per cent of the Company's issued share capital.
