Annual General Meeting

Further to our communication to shareholders concerning the postponement of the 2020 Annual General Meeting ("AGM"), RIT Capital Partners plc ("Company") is pleased to announce that its AGM will now be held on Tuesday, 26th May 2020 at 3.30 p.m.

As a result of the ongoing COVID-19 pandemic, physical attendance in person at the AGM will not be possible if the latest restrictions on public gatherings imposed by the Government continue. The Company therefore encourages shareholders to cast their votes by completing and returning the Form of Proxy, or voting online. In the event that restrictions continue, shareholders will be able to listen to the AGM remotely and further details will be provided in the coming weeks on the Company's website: www.ritcap.com/agm . The Company will continue to monitor this situation and will update shareholders if there are any changes to the arrangements for the AGM.

A notice of the AGM will be sent to shareholders and is available on the Company's website. It will also be available for inspection at the National Storage Mechanism in due course.
