Recommended cash acquisition
of
AA plc
by
Basing Bidco Limited
a newly incorporated entity indirectly wholly owned by a
consortium of the TowerBrook Funds and the Warburg Pincus Funds
to be effected by means of a Scheme of Arrangement
under Part 26 of the Companies Act 2006
Scheme of arrangement becomes effective and results of elections
for the Alternative Offer
On 25 November 2020, the boards of AA plc (the "AA") and Basing
Bidco Limited ("Bidco") announced that they had reached agreement
on the terms of a recommended cash acquisition by Bidco, a newly
incorporated company indirectly wholly owned by a consortium of (i)
funds advised by TowerBrook Capital Partners (U.K.) LLP or its
affiliates; and (ii) private equity funds managed by Warburg Pincus
LLC or its affiliates (together, the "Consortium"), of the entire
issued and to be issued ordinary share capital of the AA by means
of a Court approved scheme of arrangement under Part 26 of the
Companies Act 2006 (the "Scheme") (the "Acquisition"). The scheme
document in relation to the Acquisition was published on 17
December 2020 (the "Scheme Document").
On 8 March 2021, the AA announced that the Court had sanctioned
the Scheme to effect the Acquisition. The AA is pleased to announce
that the Scheme has now become effective.
Under the terms of the Scheme, subject to any valid election for
the Alternative Offer, AA Shareholders will receive 35 pence for
each AA Share held at the Scheme Record Time (being 6.00 p.m. on 8
March 2021).
Applications have been made to the Financial Conduct Authority
and the London Stock Exchange in relation to the delisting of AA
Shares from the Official List and cancellation of the admission to
trading of AA Shares on the main market of the London Stock
Exchange, which are each expected to take place at 8.00 a.m. on 10
March 2021.
Alternative Offer
As the number of valid elections for the Alternative Offer would
have required the issue of Topco B Shares exceeding the Alternative
Offer Maximum, AA Shareholders who made valid elections for the
Alternative Offer have had such elections scaled down on a pro rata
basis by approximately 42.25 per cent. As a result, such AA
Shareholders will receive 1.0 Topco Unit (comprising 0.3181818182
Topco B Ordinary Shares and 2.8636363636 Topco B Preference Shares)
for approximately 57.75 per cent of the AA Shares that they held at
the Scheme Record Time, and 35 pence in cash for each of the
remaining AA Shares that they held at the Scheme Record Time.
As set out in the Scheme Document, the fractional entitlements
of each AA Shareholder to Topco B Ordinary Shares and Topco B
Preference Shares under the Alternative Offer has been rounded down
to the nearest whole number of Topco B Ordinary Shares and Topco B
Preference Shares per AA Shareholder. Fractional entitlements to
Topco B Ordinary Shares and Topco B Preference Shares will not be
allotted or issued to such AA Shareholder but will be disregarded.
In the event that an AA Shareholder has validly elected (or is
deemed to have validly elected pursuant to the terms of the Scheme)
to receive Topco B Shares in lieu of the cash consideration to
which such AA Shareholder would otherwise be entitled, the balance
of the consideration (after the effect of rounding fractional
entitlements as described above) will be disregarded and not paid
to such holder.
Settlement
The latest date for the despatch of cheques to AA Shareholders
and settlement through CREST for cash consideration due under the
Scheme is 23 March 2021.
Certificates for Topco Units issued to AA Shareholders pursuant
to the Alternative Offer will be despatched by first class post (or
by international post or airmail, if overseas) no later than 23
March 2021 to AA Shareholders at the address appearing in the AA's
register of members at the Scheme Record Time or, in the case of
joint holders, to the holder whose name appears first in such
register in respect of the joint holding concerned.
All references to times in this announcement are to London time,
unless otherwise stated. Capitalised terms in this announcement,
unless otherwise defined, have the meanings set out in the Scheme
Document.
Appointment of Non-Executive Chairman
The AA is also delighted to announce the appointment of Rick
Haythornthwaite as Non-Executive Chairman, effective immediately.
Rick is one of the UK's most experienced and respected business
leaders with a wealth of relevant experience, including as
chairman, non-executive director, and CEO of some of the world's
leading companies in the technology, financial services and
industrial sectors. As Chairman of the AA, Rick will work closely
with the company's leadership team and new shareholders to drive
the business forward, better serve its customers and capitalise on
its considerable strengths.
Rick is currently Chairman-Elect of Ocado plc, a role he will
assume after the company's AGM in May. He was previously Chairman
of Mastercard Inc., a position he retired from at the end of last
year having joined just before the IPO of the company in 2006. Rick
is also the chairman and co-founder of QiO Technologies Ltd, an
advanced analytics and AI software company. He has previously
served as CEO of listed companies Invensys plc and Blue Circle
Industries plc. His other senior board appointments have included
Cookson Group plc, Lafarge SA, Imperial Chemical Industries plc,
Land Securities plc, Network Rail Limited, Better Regulation
Commission and Centrica plc.

Notice to US AA Shareholders
The Acquisition is being made to acquire the securities of an
English company by means of a scheme of arrangement provided for
under English law. A transaction effected by means of a scheme of
arrangement is not subject to the tender offer rules or the proxy
solicitation rules under the US Securities Exchange Act of 1934
(the "US Exchange Act"). Accordingly, the Scheme is subject to
disclosure requirements and practices applicable in the United
Kingdom to schemes of arrangement, which are different from the
disclosure requirements of the US tender offer rules and proxy
solicitation rules.
However, if Bidco were to elect to implement the Acquisition by
means of a Takeover Offer, such Takeover Offer would be made in
compliance with all applicable United States laws and regulations,
including any applicable exemptions under the US Exchange Act. Such
a Takeover Offer would be made in the United States by Bidco and no
one else.
In the event that the Acquisition is implemented by way of a
Takeover Offer, in accordance with normal United Kingdom practice,
Bidco or its nominees, or its brokers (acting as agents), may from
time to time make certain purchases of, or arrangements to
purchase, shares or other securities of the AA outside the US,
other than pursuant to such Takeover Offer, during the period in
which such Takeover Offer would remain open for acceptances. These

The Bidco Loan Notes and the Topco Units issued under the
Alternative Offer will not be registered under the US Securities
Act of 1933 (the "Securities Act"). Bidco expects to issue the
Bidco Loan Notes and the Topco Units in reliance upon the exemption
from the registration requirements of the Securities Act provided
by Section 3(a)(10) thereof. ("Section 3(a)(10)"). Section 3(a)(10)
exempts securities issued in specified exchange transactions from
the registration requirement under the Securities Act where, among
other things, the fairness of the terms and conditions of the
issuance and exchange of such securities have been approved by a
court or governmental authority expressly authorised by law to
grant such approval, after a hearing upon the fairness of the terms
and conditions of the exchange at which all persons to whom the
Bidco Loan Notes or Topco Units are proposed to be issued have the
right to appear; and receive adequate and timely notice
thereof.
The Bidco Loan Notes and the Topco Units to be received upon
completion of the Alternative Offer may be resold without
restriction in the United States, except in respect of resales by
persons who are "affiliates" (within the meaning of Rule 144 under
the Securities Act ("Rule 144")) of Bidco at the time of such
resale or who have been affiliates of Bidco within 90 days before
the Effective Date. Such persons may not be able to sell Bidco Loan
Notes or Topco Units that they receive in connection with the
Alternative Offer in the absence of registration under the
Securities Act or an exemption from registration, if available.
The receipt of consideration by a US holder for the transfer of
its AA Shares pursuant to the Scheme shall be a taxable transaction
for United States federal income tax purposes. Each AA Shareholder
is urged to consult their independent professional adviser
immediately regarding the tax consequences of the Acquisition
applicable to them, including under applicable United States state
and local, as well as overseas and other, tax laws.
The financial information included in the Scheme document has
been or will have been prepared in accordance with International
Financial Reporting Standards and thus may not be comparable to
financial information of US companies or companies whose financial
statements are prepared in accordance with generally accepted
accounting principles in the US.
The AA is organised under the laws of England and Wales and
Bidco is organised under the laws of Jersey. Some or all of the
officers and directors of Bidco and the AA, respectively, are
residents of countries other than the United States. In addition,
most of the assets of Bidco and the AA are located outside the

offeror must make a Dealing Disclosure if the person deals in any
relevant securities of the offeree company or of any securities
exchange offeror. A Dealing Disclosure must contain details of the
dealing concerned and of the person's interests and short positions
in, and rights to subscribe for, any relevant securities of each of
(i) the offeree company and (ii) any securities exchange offeror,
save to the extent that these details have previously been
disclosed under Rule 8. A Dealing Disclosure by a person to whom
Rule 8.3(b) applies must be made by no later than 3.30 pm (London
time) on the Business Day following the date of the relevant
dealing.
If two or more persons act together pursuant to an agreement or
understanding, whether formal or informal, to acquire or control an
interest in relevant securities of an offeree company or a
securities exchange offeror, they shall be deemed to be a single
person for the purpose of Rule 8.3.
Opening Position Disclosures must also be made by the offeree
company and by any offeror and Dealing Disclosures must also be
made by the offeree company, by any offeror and by any persons
acting in concert with any of them (see Rules 8.1, 8.2 and
8.4).

relevant securities Opening Position Disclosures and Dealing
Disclosures must be made can be found in the Disclosure Table on

including details of the number of relevant securities in issue,
when the offer period commenced and when any offeror was first
