Publication of Prospectus, Fundraise and Issue of Shares

Cloudbreak Discovery PLC (LSE: CDL), a leading natural resources project generator with a particular focus on commodities key to the energy transition, is pleased to announce the publication of a Prospectus dated 19 July 2022. The Prospectus, which has been approved by the FCA, has been published on the Company's website at https://cloudbreakdiscovery.com/investors/ and will also be available at the FCA's Document Storage Mechanism at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism .

Pursuant to the Prospectus, the Company has conditionally raised GBP585,625 by way of a placing of GBP60,000 ("Placing") and a subscription of GBP525,625 ("Subscription") (together the "Fundraise") through the issue of 26,027,776 new ordinary shares at 2.25 pence per share (the "Placing Price"). Shard Capital Partners LLP, acted as the Company's sole broker in connection with the Placing.

The proceeds of the Fundraise will be used to support the Company's immediate objective of developing its existing portfolio of assets and interests and acquiring suitable additions including lithium assets and bauxite projects globally, as well as cover operational costs generally.

Application has been made for the new ordinary shares to be admitted by way of a Standard Listing on the Official List ("Admission"). It is expected that Admission will become effective on 25 July 2022. These shares rank pari passu with the existing ordinary shares of the Company. Following the issue of these shares, the Company's issued ordinary share capital shall consist of 526,001,976 ordinary shares. The figure of 526,001,976 represents the total voting rights in the Company and should be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's ("FCA") Disclosure Guidance & Transparency Rules.
