PUBLICATION OF 2021 ANNUAL REPORT AND NOTICE OF ANNUAL GENERAL MEETING

Jardine Matheson Holdings Limited (the 'Company') has today published on the Company's website, www.jardines.com, its Annual Report in respect of the year ended 31st December 2021 (the 'Annual Report'). The notice of the 2022 Annual General Meeting and form of proxy are also available on the website.

A printed copy of the Annual Report, together with the notice of the 2022 Annual General Meeting and form of proxy (together the 'Documents'), are today being posted to shareholders. At the time of sending the Documents, it is impossible to predict what impact COVID-19 might have on postal services around the globe. Accordingly, there may be delays for the Documents to be received by some registered shareholders. In light of these possible delays, registered shareholders should consider visiting the Company's website to access and print the proxy form to ensure that they can complete and send it to the Company's registrars/transfer agents by the deadline set out in the proxy form. If investors require assistance, please contact the Company's registrars/transfer agents. It is also recommended that investors appoint the Chairman of the Meeting as their proxy.

Copies of the Documents have also been submitted to the Financial Conduct Authority (the 'FCA') in the United Kingdom via the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism .

The information required by the Disclosure Guidance and Transparency Rule 6.3.5 of the FCA is included in the preliminary announcement of results for the year ended 31st December 2021 made by the Company on 3rd March 2022 and in the Annual Report.

Cancellation of cross-shareholding

Further to the announcement made by the Company on 8th March 2021 in relation to its intention to cancel the 59% per cent. shareholding in the Company held (directly and indirectly) by Jardine Strategic Limited ('Jardine Strategic' and the 'Share Cancellation', respectively), the Company is proposing to seek the approval of shareholders at the 2022 Annual General Meeting of Resolutions relating to a reduction of capital in the Company (the 'Capital Reduction') as well as a proposed amendment the Company's bye-laws in order to implement the Share Cancellation.

If the Capital Reduction and amendments to the Company's bye-laws are approved by shareholders, the 59% shareholding held (directly and indirectly) by Jardine Strategic would be cancelled, and no consideration would be paid. The notice of the 2022 Annual General Meeting contains further details of these matters.

The Board considers the Capital Reduction and the associated Resolutions to be in the best interests of the Company and its shareholders as a whole and unanimously recommends that shareholders vote in favour of such Resolutions.
