private sale of 1,000,000 shares of its common stock to qualified investors.
The minimum purchase is 80,000 shares for € 20,250.The shares carry a one year
lock-in requirement.  The Company is currently accepting subscriptions and will
report via press release the issuance of shares as such issuances are made.
