DIRECTORS' SHAREHOLDING

Pennon Group Plc announces that it has today received notification that its
three Executive Directors have obtained a conditional interest in Ordinary
shares of the Company as follows:


Mr R J Baty                             -               8,753

Mr C I J H Drummond                     -               6,165

Mr D J Dupont                           -               5,249



The shares were awarded on 26 July 2002 at a price of 652p per share under the
Company's revised performance related bonus arrangements whereby the cash bonus
payable in respect of 2001/02 is matched by an award of shares of an equivalent
amount.  It is a condition of the performance related bonus scheme that the
shares so awarded should normally be held for a period of three years,
conditional upon continuous service with the Company.  The shares are held by
Pennon Share Plans (Guernsey) Limited.
