Notice of Annual General Meeting
The Company announces that its Annual General Meeting ("AGM")
will be held at , Trafalgar Court, Les Banques, St Peter Port,
Guernsey, Channel Islands at 10.30 a.m. (BST) on Tuesday, 24 May
2022.
The Board of Directors of the Company notes the potential impact
of COVID-19 on the AGM and considers the well-being of Shareholders
and other AGM attendees as a priority.
Travel restrictions introduced by the States of Guernsey to
address the COVID-19 pandemic have been eased, however, if they are
re-introduced and remain in place at the intended time scheduled
for the meeting, physical attendance at the Annual General Meeting
may not be possible.
Accordingly, the Company urges Shareholders to vote by proxy and
to appoint the chairman of the meeting as their proxy for that
purpose. All votes on the resolutions contained in the Notice of
Annual General Meeting will be held by poll so that all voting
rights exercised by Shareholders, who are entitled to do so at the
Annual General Meeting, will be counted.
All Shareholders are urged to submit Forms of Proxy in respect
of the AGM to ensure their vote is registered. Shareholders should
complete and sign the Form of Proxy accompanying the Notice of AGM
in accordance with the instructions printed on the Form of
Proxy.
The Company will continue to monitor developments, including any
regulatory changes in relation to COVID-19. If it becomes necessary
or appropriate to revise the arrangements for the AGM, further
announcements will be made and information will be made available
