Posting of Notice of Extraordinary General Meeting

Esken, the aviation and renewable energy group, announced its unaudited interim results for the six months to 31 August 2022 earlier today. That announcement contained details relating to a financing that the Company proposes to undertake.

The articles of incorporation of the Company (the "Articles") limit its borrowings to four times its adjusted capital and reserves. In order to augment the liquidity position of the Company, the level of borrowing is shortly expected to exceed the current limit set out in the Articles and would exceed it if the proposed financing was utilised. The Articles allow for debt to be incurred in excess of the borrowing limits set out therein with the approval of an ordinary resolution of shareholders. We have, therefore, today issued a Notice of Extraordinary General Meeting ("EGM") to shareholders for the purposes of passing a resolution to approve the incurrence of borrowings beyond the limits in our Articles. The Company's ability to draw down the funds made available under the proposed financing is dependent upon the passing of that r esolution.

The EGM will take place at the offices of Simpson Thacher & Bartlett LLP CityPoint, One Ropemaker Street, London EC2Y 9HU on 29 November 2022 at 11.00 am.

The Notice of the EGM has been posted in hard copy form to those shareholders who have elected to receive correspondence by post. Other shareholders have been notified by letter or email (for those shareholders who have notified the Company they wish to receive electronic communications) of the availability of the Notice of EGM at the following link www.esken.com/investors/shareholder-centre/documents-circulars/ .

In compliance with 9.6.1 of the Listing Rules, copies of the Notice of EGM has been submitted to the National Storage Mechanism and will be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
