Stakeholder Gold Corp. ("Stakeholder" or the "Corporation") (TSX VENTURE:SRC) is
pleased to announce that, subject to TSX Venture Exchange approval, it has
agreed to amend the terms of the following previously issued share purchase
warrants:

The acceleration clause will be as follow:

"If, for any ten (10) consecutive trading days, the closing price of the common
shares of the Corporation is more than $0.33, the Corporation shall notify the
warrant holder of its intention to force the exercise of the Warrants. Upon
receipt of such notice, the warrant holder shall have 30 days to exercise the
warrants, failing which the warrants will automatically expire."
