Final Results and Audited Annual Report and Accounts for the
Year to 31 March 2021
Notice of General Meeting
The Board of Directors of Chill Brands Group plc (LON:CHLL)
(OTCQX:ZOEIF), the international CBD group, announce the
publication of the Company's audited annual report and accounts for
the year to 31 March 2021 (the 'Annual Report').
The Annual Report will be published on the Company's website in
compliance with its articles of association and the electronic
communications provisions of the Companies Act 2006.

Trevor Taylor, Co-CEO of Chill Brands Group, said: "We apologise
for the delay in issuing our 2021 Annual Report and Financial
Statements, and appreciate the frustration this has caused to
shareholders. We are pleased that the audited accounts are now
finalised and look forward to presenting our vision for the future
at the upcoming AGM."
Prior year adjustment - Amendment to the Preliminary Results for
the Year Ended 31 March 2021
The 2020 statement of comprehensive income, statement of
financial position, statement of changes in equity and statement of
cashflows have been restated in respect of share compensation that
was issued to the Directors on 3 April 2020. This was not included
in the Preliminary Results for the Year Ended 31 March 2021 that
were announced on 31 August 2021.
The linked expense of GBP1,096,500 in respect of this
compensation should have been recognised in the financial
statements for the year ended 31 March 2020 as it was probable at
that time that the shares would be issued to the Directors.
The share compensation was issued to the Directors in the
current financial year and as such the linked Directors
remuneration is included with Directors' remuneration for the
current period.
Notice of General Meeting
Chill also announces that:
i. the Notice of the Company's General Meeting ('GM') at which
the Company will lay the Annual Report and Financial Accounts for
the financial year ended 31 March 2021 before shareholders; and
ii. hard copies of the Annual Report and Financial Accounts,
will be posted to those shareholders who have elected to receive
hardcopy shareholder communications from the Company as soon as
possible, and no later than 30 September 2021.
The GM will be held at 1601 Riverfront Drive, Suite 201, Grand
Junction CO 81501 USA at 09:00am (MST) / 4:00pm (BST) on Tuesday 26
October 2021. A copy of the Notice together with the proxy form
will be available on the Company's investor relations website at
www.chillbrandsgroup.com .
The Company has made arrangements for the GM to be webcast live
to shareholders for observation via Zoom. To observe the GM via
webcast please contact Buchanan Communications Limited at
chillbrands@buchanan.uk.com no later than 9.00 a.m. MST / 4.00 p.m.
BST on Friday, 22 October 2021. You will be required to provide
details (including your investor code which can be obtained by
contacting our Registrar on enquiries@shareregistrars.uk.com ) to
verify your identity.
Please note that, if observing the GM via Zoom:
i. shareholders will not be able to vote live at the GM via Zoom; and
ii. there will be no facility to speak or ask questions live at the GM via Zoom.
With that, Shareholders are strongly encouraged to appoint the
chairman of the GM as their proxy and provide voting instructions
in advance of the GM by email to Share Registrars Limited (
voting@shareregistrars.uk.com ) and, in any event, by no later than
9.00 a.m. MST / 4.00 p.m. BST on Friday 22 October 2021.
Shareholders are also invited to submit written questions in
advance of the GM via email at chillbrands@buchanan.uk.com and, in
any event, by no later than 9.00 a.m. MST / 4.00 p.m. BST on Friday
22 October 2021. When submitting questions by email, please include
your investor code (which can be obtained by contacting our
Registrar on enquiries@shareregistrars.uk.com ). At the GM, the
Board will endeavour to answer any questions so submitted.
The Chairman of the meeting will direct that all resolutions
will take place by way of a poll, rather than a show of hands, to
ensure that proxy votes are recognised in order to accurately
reflect the views of shareholders. The voting results on the
resolutions put to the GM will be announced to the market following
the closure of the GM.
