Capital Raise and Open offer update

Results of General Meeting

Further to its announcement on 24 August 2021 regarding the Posting of Circular and Notice of General Meeting ("GM"), City of London Group Plc (AIM: CIN) is pleased to announce that all Resolutions were duly passed at the GM.

The full text of the resolutions may be found in the Circular, which is available on the Company's website https://cityoflondongroup.com/new-investor/. The poll results will also be posted on the Company's website.

Capital Raise

Further to its announcement on 23 August 2021 regarding the Capital Raise and Restructure of the Group, the Company announces an application will be made for the admission to trading of 18,916,667 new ordinary shares of GBP0.02 each ("Ordinary Shares") to be issued to the Subscribers as part of the Subscription. The shares will be admitted to the AIM Market of the London Stock Exchange, which will rank pari passu with the Company's existing Ordinary Shares, and admission to trading is expected to be effective by 8:00am on 14 September 2021 ("Admission").

Following Admission, the Company will have 104,796,580 Ordinary Shares in issue with each share carrying the right to one vote. This figure may be used by shareholders as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Open offer

Further to its announcement on 23 August 2021 regarding the Open Offer, the Company confirms that it is planning to launch an open offer shortly and will post details to shareholders along with an application form. A further announcement will be made in due course.
