Item 8.01    Other Events.
On January 11, 2022, Aptiv PLC (the “Company”) issued a press release announcing that the Company and certain of its affiliates have entered into an agreement to acquire Wind River Systems, Inc. (“Wind River”) from TPG Capital, the private equity platform of global alternative asset management firm TPG, subject to the terms and conditions contained therein. A copy of the press release is attached as an exhibit and is incorporated herein by reference. The press release is available on the Company’s website at aptiv.com.
