NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS EXERCISING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

LTIP Award exercise by Nick Wilkinson

Dunelm Group plc (the "Company") has been notified by Nick Wilkinson, Chief Executive Officer, that on 21(st) October 2021 he exercised 197,693 nil cost options over ordinary shares of one pence each in the Company. These options were granted to him on 17(th) October 2018 under the terms of the Long Term Incentive Plan. Mr Wilkinson has sold 93,196 ordinary shares at a price of 1272p per share to fund the tax and national insurance due in respect of this exercise. Mr Wilkinson will retain the balance of the shares in accordance with the shareholding guidelines set out in the approved Remuneration Policy.

Total interests in shares

Following the transaction set out above Mr Wilkinson is beneficially interested in 246,002 ordinary shares of one pence each in the Company, 0.121% of the Company's issued ordinary share capital (excluding treasury shares).
