ANNUAL GENERAL MEETING 2021

RESULT OF POLL AT ANNUAL GENERAL MEETING

Information disclosed in accordance with LR 9.6.18

Following the Annual General Meeting of the Company, which was held today, the Board is pleased to announce that all of the ordinary resolutions put to shareholders were voted on by Poll and passed. The following special

business was also voted on by poll and passed   which : 

i. will allow the Company to allot shares up to an aggregate nominal amount of GBP 780,571 , representing approximately 10% of the Company's issued share capital as at the date of the AGM notice;

ii. will allow the Company to disapply pre-emption rights on the allotment of new Ordinary shares or by way of sale of Treasury shares up to an aggregate nominal amount of GBP 780,571 , representing 10% of the Company's total Ordinary share capital as at the date of the AGM notice;

iii. will allow the Company to make market purchases of up to 23,401,531 Ordinary shares representing 14.99% of the Company's issued share capital as at the date of the AGM notice; and,

iv. will allow the Company to continue to pay quarterly interim dividends during the year.

v. will allow the Company to adopt new investment restrictions within the investment policy in substitution for the existing one

vi. will allow the adoption of new Articles of Association of the Company.
