Results of Second General Meeting

The Board is pleased to announce that the special resolution to place the Company into voluntary liquidation was voted on and approved by the Company's shareholders at the Second General Meeting held earlier today. Derek Neil Hyslop and Richard Peter Barker, both licensed insolvency practitioners of Ernst & Young LLP, have been appointed as joint liquidators (the "Liquidators").

The results of the Second General Meeting, which incorporate proxy votes lodged in advance of the meeting, are set out below:

Application has been made to the FCA and the London Stock Exchange for the listings and admissions to trading of each of the Reclassified Shares to be cancelled at 8.00 a.m. on 29 March 2021.
