Shareholdings
The Portmeirion Group 2018 Deferred Incentive Share Option Plan
(the "Deferred Plan") Exercises
The Company announces that, on 2 June 2021, the following
Executive Directors exercised options which were granted on 21 May
2018 pursuant to the Deferred Plan to subscribe for and retain a
total of 4,667 ordinary shares of 5 pence each in the Company
("Ordinary Shares") as detailed below:

In addition, a former employee of the Company exercised 3,663
options granted on 21 May 2018 under the Deferred Plan.
Accordingly, the Company transferred 8,330 Ordinary Shares on 2
June 2021 from shares held in treasury by the Company in respect of
the above exercises.
Following the above transfer of treasury stock, the total number
of Ordinary Shares held by the Company in treasury is 218,645 and
the Company will have 14,204,087 Ordinary Shares in issue and
13,985,442 Ordinary Shares with voting rights. The figure of
13,985,442 Ordinary Shares may be used by shareholders of
Portmeirion Group PLC as the denominator for the calculations to
determine if they are required to notify their interest in, or a
change to their interest in, the Company under the FCA's Disclosure
and Transparency Rules.

of the EU Market Abuse Regulation, provides further detail.
