Newington Vendor Consideration

SEC Newgate (AIM: SECN), the insight-driven global strategic communications group that works at the nexus of business, politics, communities, markets and media, announces that, further to the Company's announcement of 18 January 2021 ("January RNS"), SEC Newgate has issued and allotted a total 194,215 new ordinary shares of EUR0.10 ("Shares") to the vendors of Newington in part consideration for the acquisition of the 40% of Newington ("Acquisition"). The cash consideration for the Acquisition shall be reduced accordingly, as detailed in the January RNS.

The Newington vendors include Mark Glover, a director of SEC Newgate, who receives 110,702 new Shares, following which he will be interested in 110,702 Shares, representing approximately 0.45% of the enlarged issued share capital of the Company.

Application and Total Voting Rights

Application is being made to the London Stock Exchange for a total of 194,215 new Shares to be admitted to trading on AIM ("Admission") and Admission is expected to occur on or around 6 September 2021. The new Shares rank pari passu with the existing Shares in the Company.

The Company's enlarged issued share capital is 24,710,922 Shares. The Company holds no Shares in Treasury. This figure of 24,710,922 Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
