Tesco PLC (the "Company")
Exercise of nil-cost options under the Tesco PLC Performance
Share Plan 2011 (the "PSP") and Tesco PLC Group Bonus Plan (the
"GBP")
On 12 November, Matthew Simister, a member of the Company's
Executive Committee, exercised nil-cost options over 290,708
Ordinary Shares of 6 1/3 pence each in the Company from awards
granted under the rules of the PSP and GBP as set out below:

This represents the gross number of shares exercised. A
proportion of the shares exercised have been retained to cover
Income Tax and National Insurance Contributions due on exercise and

the Company's Executive Committee, sold 154,074 Ordinary shares of
