Notification of Repurchase of Convertible Bonds
6(th) August 2021
Trainline plc (the "Company") announces that it has repurchased
GBP28.6m in aggregate principal amount of the GBP150 million of
senior unsecured Convertible Bonds due 2026 (the "Bonds").
Following this purchase GBP121.4m in aggregate principal amount
of the Bonds remain outstanding. The Company may look to make
further repurchases from time to time, subject to market
conditions.
The Bonds which have been repurchased will be surrendered by the
Company for cancellation.
This notification complies with LR 12.5.2. in relation to the
repurchase of 19.1% of the principal amount of the Bonds initially
issued. Further announcements will be made in accordance with the
Listing Rules in the event that more Bonds are repurchased.
This notification does not constitute or form part of an offer

purchase, the Bonds or any other securities.
