Grant of Share Options
Notification of transactions by directors
Transense Technologies plc (AIM: TRT), the developer of
specialist sensor systems, announces that the Company has granted
options ("Options") over 250,000 new ordinary shares of 10 pence
each ("Ordinary Shares"), pursuant to the Company's Unapproved
Discretionary Share Option Scheme and Enterprise Management Share
Option Scheme, to the Company's Directors as detailed below:

The Options are exercisable at the nominal value of Ordinary
Shares of 10p per share. The Options can be exercised from the
third anniversary of grant until the tenth anniversary of grant
(the "Exercise Period") and provided that share price targets are
met as follows:
i) two thirds of the Options can be exercised if during the
Exercise Period the daily closing price of Ordinary Shares has
exceeded GBP1.50 for 10 consecutive business days; and
ii) one third of the Options can be exercised on a pro rata
basis according to the highest daily closing price of Ordinary
Shares between GBP1.50 and GBP2.00 for 10 consecutive business days
during the Exercise Period (and therefore all these Options can be
exercised if the GBP2.00 share price target is met and none can be
exercised if the share price does not exceed GBP1.50 for 10
consecutive days).
Following the above grant of Options, the total number of
options outstanding over unissued Ordinary Shares is 1,464,000,
representing approximately 8.9 per cent. of the Company's issued
share capital. The Directors intend to make further grants to
employees and consultants in due course within an overall aggregate
limit of 10 per cent of the Company's issued share capital.
