Admission, share capital and total voting rights

Following the announcement on 26 September 2019, 72,398,191 new ordinary shares will be admitted to the premium segment of the official list of the Financial Conduct Authority ("FCA") and to trading on the main market of the London Stock Exchange with effect from 8.00 a.m. on Monday 30 September ("Admission").

As explained in the Prospectus published by the Company on 21 June 2019, the Company applied to the High Court of England and Wales (the "Court") to reduce the nominal value of its ordinary shares from GBP1.00 to GBP0.01 per ordinary share (the "Reduction"). The Directors are pleased to announce that the Court has confirmed the Reduction and the Court's order has been registered by the Registrar of Companies. The Reduction is effective and the Company's issued share capital therefore, following the Reduction and Admission, will consist of 457,487,640 ordinary shares of GBP0.01 each. The total number of voting rights of the Company will be 457,487,640 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
