   Annual Conversion Facility 
 
   Boussard & Gavaudan Holding Limited ("the "Company") today announces 
that the Board of Directors has taken the decision to defer the November 
2019 Annual Conversion Facility (the "Facility") until December 2019 or 
the first quarter of 2020. This decision is a reflection of the fact 
that completion of the Offer which was approved by Shareholders at the 
Extraordinary General Meeting held on 30 October 2019 will result in a 
change to the capital structure of the Company. The Board believes that 
it will be in the best of interest of Shareholders for the Facility to 
be made available after completion of the Offer. 
 
   A further announcement in relation to the Facility will be made in due 
course. 
 
   Terms used and not defined shall have the same meanings as in the 
Circular published on 8 October 2019.
