On February 25, 2021, B. Riley Financial, Inc. (“BRF”)
and National Holdings Corporation (“NHLD”) jointly issued a press release announcing the completion of BRF’s
previously announced acquisition of NHLD. A copy of that press release is filed as Exhibit 99.1 hereto and is incorporated
herein by reference.
