Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 11, 2021, John C. Lechleiter informed the Nominating & Governance Committee of the Board of Directors (the “Board”) of Ford Motor Company (the “Company”) that he does not intend to stand for reelection to the Board once his current term ends at the 2021 Annual Meeting of Shareholders. Dr. Lechleiter’s decision was due to personal reasons and not due to any disagreement with the Company.

Item 8.01. Other Events.

On March 12, 2021, the Company issued a news release announcing the nomination of Alexandra Ford English and Henry Ford III to stand for election at the Company’s 2021 Annual Meeting of Shareholders. The Company also announced that, due to having reached the Company’s mandatory retirement age for directors of 72, Edsel B. Ford II will not stand for reelection to the Board once his current term ends at the 2021 Annual Meeting of Shareholders. A copy of the news release is filed as Exhibit 99 to this Report and incorporated by reference herein.
