Item 7.01. Regulation FD Disclosure.

Ford continues to expect to meet the full year 2021 financial guidance that was included in the Outlook section of its Annual Report on Form 10-K for the year ended December 31, 2020 (the “2020 10-K”). In addition, Ford believes the potential impact of the semiconductor shortage continues to be as described in the 2020 10-K. Accordingly, if the semiconductor shortage scenario set forth in the Outlook section of the 2020 10-K is extended through the first half of 2021, the shortage could adversely impact Ford’s adjusted EBIT by between $1.0 billion and $2.5 billion, net of reasonable cost recoveries and some production make-up in the second half of the year.

Item 8.01. Other Events.

On March 16, 2021, Ford issued a press release announcing the Company’s intent to offer, subject to market conditions and other factors, $2.0 billion aggregate principal amount (plus an additional $300 million to be subject to an over-allotment option) of convertible senior notes due 2026 (the “Notes”) in a private placement offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). A copy of the press release is filed as Exhibit 99 hereto and is incorporated by reference herein.
