The total issued share capital of Smith & Nephew plc (the "Company") as at 31 August 2021 comprises 885,137,611 ordinary shares of US20c each ("ordinary shares"), including 5,903,175 ordinary shares held in treasury.

The Company's issued share capital, with one voting right per share, therefore consists of 879,234,436 ordinary shares. This is the figure, which should be used by shareholders as the denominator when determining whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
