Item 3.01   Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
 
On September 21, 2009, the board of directors of Green Builder’s, Inc. (the “Company”) approved the filing of a Form 25 with the Securities and Exchange Commission to voluntarily delist the Company’s common stock from the NYSE Amex, LLC (the “Exchange”).  On September 22, 2009, the Company notified the Exchange of its decision to voluntarily delist its common stock.  The Company expects to file the Form 25 on or about October 2, 2009.  The Company expects that the last day of trading of its common stock on the Exchange will be on or about October 12, 2009.

On September 22, 2009, the Company issued a press release announcing its intention to voluntarily delist its common stock from the Exchange. A copy of the press release is filed herewith as Exhibit 99.1 and is hereby incorporated by reference into this Item 3.01.
