Results of placing, PDMR dealing and TVR
Maistro Plc (AIM: MAIS) is pleased to announce that a total of
100,000,000 Placing Shares have been conditionally placed at a
price of 1 penny per Placing Share, raising proceeds of GBP1.0
million (before expenses). Placees have been contacted to confirm
their allocation in the Placing.
The Placing Shares will represent approximately 35.4 per cent of
the Company's enlarged issued ordinary share capital.
Director participation in the placing
As part of the Placing directors of the Company have subscribed
for new ordinary shares at 1 penny, as set out below.

The Company's nominated adviser, N+1 Singer, considers that the
terms of the participation by the directors in the Placing are fair
and reasonable insofar as the Company's shareholders are
concerned.
Share capital on completion of the Placing
Application will be made for the Placing Shares to be admitted
to trading on AIM. It is expected that Admission will occur on or
around 4 December 2018.
Following Admission, the Company's enlarged issued share capital
will comprise of 282,105,816 Ordinary Shares of 1 penny each with
voting rights in the Company. This figure may be used by
shareholders in the Company as the denominator for the calculations
by which they will determine if they are required to notify their
interest in, or a change in the interest in, the share capital of
the Company under the FCA's Disclosure Guidance and Transparency
Rules.
The issue of the Placing Shares is conditional, amongst other
things, on the passing of the Resolutions at the General Meeting
and admission of the Placing Shares to trading on AIM.
Save as otherwise defined, capitalised terms used in this
announcement have the meanings given to them in the announcement
released by the Company this afternoon at 1.25 p.m.
A further announcement is expected to be made in relation to the
Additional Fundraising which will remain subject to a number of
conditions, including the Rule 9 Waiver and approval by Independent
Shareholders.
