The Media and Income Trust PLC (the "Company")

As previously reported, the value of the Company's net assets has fallen to
less than half of its called up share capital, a circumstance which requires
the Board under section 142 of the Companies Act 1985 to convene an
extraordinary general meeting for the purpose of considering whether any, and
if so what, steps should be taken to deal with the situation. 

Accordingly, the Directors announce that they have today given notice that an
extraordinary general meeting of The Media and Income Trust PLC will be held
at One Bow Churchyard, Cheapside, London EC4M 9HH on 28 March 2002 at 4.00pm
for the purpose of considering in accordance with section 142 of the Companies
Act 1985 whether any, and if so what, steps should be taken to deal with the
situation that the net assets of the Company are less than half of its
called-up share capital.

Steps have already been taken to deal with the Company's situation, in the
form of an initial repayment on 28 February 2002 of £30 million of senior
debt.  Agreement is expected shortly with regard to a schedule of future
additional repayments.  At the meeting, Directors expect to be able to confirm
details of these debt repayments and any other steps taken and announced in
the meantime. The Directors will continue to consider options in relation to
the Group's capital structure.
