In conformity with the Transparency Directive's Transitional Provision 6,
Xpertise would like to notify the market of the following:


The issued capital of Xpertise comprises 5,300,616 ordinary shares of 8 pence
each. All of these shares carry voting rights.


The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, Xpertise Group plc under the FSA's
Disclosure and Transparency Rules.
