A. Charles Baillie, Chief Executive Officer and Chairman of the Board of
Directors of The Toronto-Dominion Bank, announced his intention to retire as CEO
effective December 20, 2002. Mr Baillie will remain Chairman until the annual
general meeting in 2004. W. Edmund Clark, President and Chief Operating Officer
of The Toronto-Dominion Bank will become Chief Executive Officer effective
December 20, 2002.
