Item 2.02 - Results of Operations and Financial Condition
On Monday, February 6, 2023, Bank of the James Financial Group, Inc. (the “Company”) issued a press release announcing financial results for the quarter and year-to-date periods ended December 31, 2022 (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1.
Item 8.01 – Other Events
On February 6, 2023, the Company's board of directors approved a stock repurchase plan to purchase up to $998,000 of the Company's common stock. The plan authorizes the Company to make purchases from March 8, 2023 through March 7, 2024, unless extended or sooner terminated. Purchases may be made in open market transactions or privately negotiated transactions, in accordance with Rule 10b5-1 and Rule 10b-18 under the Securities Exchange Act of 1934, as amended. In connection with the adoption of this plan, the board terminated any other repurchase plans still in effect. A copy of the Press Release announcing the Stock Repurchase Program is attached hereto as Exhibit 99.1.
