(“Home Diagnostics” or the “Company”) [NASDAQ:HDIX] arising out of

On Wednesday, February 3, 2010, Home Diagnostics announced that
Nipro will acquire it pursuant to a cash tender offer. Under the
terms of the agreement, Home Diagnostics stockholders will receive
cash of $11.50 in exchange for each share of Home Diagnostics
common stock. However, the Company may not have adequately shopped
itself around before entering into this transaction and, pursuant
to this proposed transaction, Nipro may be underpaying for Home
Diagnostics, thus unlawfully harming Home Diagnostics
shareholders.
