Retirement of the Original Trustee and Appointment of the Successor Trustee in respect of:

   i)          the 6.875% per cent. Debenture Stock 2023; and

ii) the 4.5% Irredeemable Debenture Stock, the 8-14 per cent. Stepped Interest Debenture Stock 2020 and the 6-12 per cent. Stepped Interest Debenture Stock 2026 (the "Debenture Stock").

Further to our notice of 11 May 2020 regarding the passing of the resolution to appoint APEX Corporate Trustees (UK) Limited ("Apex") as the Successor Trustee (and to make certain now market standard amendments to the Trust Deeds) at each of the Adjourned General Meetings of debenture holders held on 7 May 2020, we can confirm that the supplemental trust deeds between Scottish Mortgage Investment PLC, Bank of Scotland plc and Apex (the "Supplemental Trust Deeds") have now been executed and are in effect. Accordingly, Apex has been appointed as the new Trustee of the Debenture Stock.
