The description of the terms and provisions of the iPath ® Dow Jones-AIG Softs Total Return Sub-Index SM ETNs to be issued by Registrant (the “Securities”) as set forth in the pricing supplement dated June 24, 2008 (the “Pricing Supplement”) and a prospectus supplement dated September 4, 2007 (the “Prospectus Supplement”) to a prospectus dated August 31, 2007 (the “Prospectus”) each filed with the Securities and Exchange Commission (the “Commission”) pursuant to Rule 424(b) under the Securities Act of 1933 (“Rule 424(b)”) relating to the Securities to be registered hereunder included in the Registration Statement on Form F-3 ASR (File No. 333-145845) which became effective on August 31, 2007.
