                  COBHAM GROUP ORDER AND ACQUISITION UPDATE



Sargent Fletcher



Cobham announces that Sargent Fletcher, based in El Monte California, has been
selected for a contract by The Boeing Company worth US$13 million for the
continued development of a pneumatic weapons carriage system for the US small
diameter bomb programme. First deliveries of production units are scheduled for
early 2006 and Sargent Fletcher is expected to build 2000 systems overall which
will generate sales of over US$160 million.



ERA Technology



Cobham announced on 16 September that Chelton had agreed, in principle, to
acquire the entire issued share capital of ERA Technology Ltd for a
consideration of #25 million in cash, subject to final negotiations.  As a
result of these negotiations, Chelton will also purchase the entire share
capital, for some #12 million, of the ERA Foundation property company which owns
the ERA site. This replaces the lease arrangements that were in the original
agreement in principle.  ERA Technology is located in Surrey and will operate
within the Chelton Group headquartered in Marlow, UK.



Nauticast



Cobham further announces that Chelton is acquiring 100% of the shares of
Nauticast AG located in Vienna, Austria for a consideration of Euro3 million.  The
company supplies maritime Automatic Identification Systems which are a required
fit in US navigable waters on commercial and certain passenger and towing
vessels.  The company will operate within the Chelton Group managed by ACR
Electronics based in Fort Lauderdale, Florida.



All acquisitions will be funded from internal resources
