5.02(b)(c). At a recent board of directors meeting, Mr. Kevin
Neumaier was elected president and chief executive officer effective August 1,
2008. Effective the same date, Mr. Gerhard Neumaier will resign as
president and chief executive officer but will continue in his position as
chairman of the board.
On July
28, 2008, the company issued a press release announcing these
appointments. A copy of the press release is attached hereto as
Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by
reference.
