 2,763,308 shares of common stock, which includes
 2,763,308 shares issuable upon the conversion of Jazz,
 Technologies, Inc. 8.000% Convertible Bonds Due 12-31-2011
 (the "Convertible Securities").

 (b) Percent of class:
 12.68%, calculated based on 21,794,584 shares of common stock
 outstanding, which number is calculated by adding (i)
 19,031,276 (the number of shares of common stock
 outstanding as of May 5, 2008, as reported on the
 Company's most recent quarterly report filed on Form 10-Q)
 and (ii) 2,763,308 (the number of shares of common stock deemed
 held under Rule 240.13d-3(d)(1) as a result of the beneficial
 ownership of the Convertible Securities).

 (ii) Shared power to vote or to direct the vote: 0

 The Reporting Person is registered as an investment advisor
 under Section 203 of the Investment Advisors Act of 1940
 (15 USC 80b-3) and has discretionary authority with regard to
 certain accounts that hold the Convertible
 Securities. No single account has a more than 5% interest of
 any class of the Issuer's equity securities.
