Proposed Change of Name of NatWest Smaller Companies
Investment Trust PLC (the "Company") to Gartmore Growth
Opportunities plc.


Introduction

The Board seek Shareholder approval for the proposal to
change the name of the Company to Gartmore Growth 
Opportunities plc. This follows the acquisition of
National Westminster Bank plc by Royal Bank of Scotland
("RBS") and the subsequent sale by RBS of the Company's
investment manager.  It also reflects the Company's investment
objective and policy.

Sale of Gartmore by Royal Bank of Scotland

National Westminster Bank plc, the former ultimate parent
company of the Company's investment manager, Gartmore
Investment Limited, was sold to RBS on 28 February 2000.  On
30 March 2000, RBS announced that pending regulatory approval
Gartmore Investment Management plc has been sold to Nationwide
Mutual Insurance Company, a substantial US financial services
and insurance company.  Gartmore Investment Limited is a
wholly-owned subsidiary of Gartmore Investment Management plc.

Investment objective and policy

The Company's investment objective and policy will remain
unchanged as follows.  The Company seeks to provide capital
appreciation from investment primarily in the shares of quoted
UK smaller companies. The Company invests in a portfolio of UK
smaller companies, with a wide range of market
capitalisations, to maximise the potential for capital growth.
A number of the UK smaller companies within the portfolio may
therefore be outside the universe of the benchmark index, the
FTSE SmallCap (ex IC) Index.

Change of name

To reflect Gartmore's change of ownership and the Company's
investment objective and policy, your Board is proposing a
change of name to Gartmore Growth Opportunities plc.

Share certificates in issue will remain valid notwithstanding
the change of name.

Extraordinary general meeting

Notice of an extraordinary general meeting of Shareholders of
NatWest Smaller Companies Investment Trust PLC, to be held at
Gartmore House, 8 Fenchurch Place, London, EC3M 4PH at
9.00 a.m. on 20 June 2000 is being mailed to Shareholders
today. At that meeting a special resolution will be proposed
to change the Company's name as described above.

Recommendation

The Board believes that approval of the special resolution is
in the best interests of the Shareholders as a whole and
recommends that all Shareholders vote in favour.  The
Directors, whose beneficial holdings total 42,953 ordinary
shares, intend to vote in favour of the special resolution.
