                                Director change


Andrew Cooke, Finance Director, has resigned as a director of AVC with effect
from 31 December 2002.  The Board wishes to express its gratitude to Andrew
Cooke for his finance role at the Company.

As a result, the Company no longer has any full-time employees and is being run
on a care-and-maintenance basis with operating costs kept to a minimum.  The
Board continues to seek businesses for acquisition and is currently reviewing
certain opportunities.
