GT JAPAN INVESTMENT TRUST PLC ("GT JAPAN")

RESULTS OF SHAREHOLDER MEETING RELATING TO SCHEME OF RECONSRUCTION

An Extraordinary General Meeting of GT Japan (the "EGM") was held on 9
November 2001 to approve the liquidation of GT Japan and related matters.
Both of the resolutions proposed at the EGM were passed and the scheme of
reconstruction and liquidation of GT Japan (the "Scheme") as described in Part
3 of the circular to shareholders dated 28 September 2001 became effective.

GT Japan shareholders that elected or were deemed to have elected for shares
in Perpetual Japanese Investment Trust plc ("PJIT") have received, for every
one ordinary share in GT Japan, approximately 3.16 shares in PJIT (rounded
down to the nearest whole number of PJIT shares).  Those who elected to
receive accumulation units in INVESCO Perpetual Japan Fund (the "Japan Fund")
have received approximately 0.96 units for every one ordinary share in GT
Japan (rounded up to the nearest one-hundredth of a unit).

Dealings in the new PJIT shares and the Japan Fund units will commence on
Monday, 12 November 2001.
