Redemption of Redeemable Shares


As provided in the prospectus issued by the Company on 3 December 2001, the
Company has, on 16 July 2002, redeemed for cash at par the 50,000 unlisted
redeemable preference shares of £1 each in the capital of the Company.  The
redeemable shares were allotted by the Company to Aberforth Partners on 28
November 2001 to enable the Company to obtain a certificate of entitlement 
to do business and to borrow under section 117 of the Companies Act 1985.

The authorised and unissued share capital arising as a consequence of the
redemption of the redeemable shares has in accordance with the Company's
articles of association been redesignated as Capital Shares of 1p each in 
the capital of the Company.
