OFFER FOR SUBSCRIPTION

Baronsmead VCT 5 plc (the "Company") announces the launch of an offer for subscription for new ordinary shares of 10 pence each in the Company to raise up to GBP3,850,000 (before issue costs) (the "Offer"). Full details of the Offer are contained in the offer document (the "Offer Document") issued by the Company, dated 10 February 2016.

The Offer opens on 10 February 2016 and is expected to close no later than 24 March 2016 (unless fully subscribed by an earlier date or previously extended by the directors to no later than 29 April 2016).

Under the terms of the Offer, until the close of business on 24 February 2016 the Offer will be open exclusively to satisfy subscriptions from existing shareholders in the Company. Should the Offer not be fully subscribed before this time, the remaining shares to be issued under the Offer will be used to satisfy subscriptions from shareholders in all of the Baronsmead VCTs until the close of business on 3 March 2016. If the Offer is not fully subscribed by the close of business on 3 March 2016, the balance if any, will be used to satisfy the subscription of any other investors.

A copy of the Offer Document has been sent to all existing shareholders in the Company. In accordance with the Listing Rules, the Offer Document has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.
