BARING STRATTON INVESTMENT TRUST PLC

Baring Stratton Investment Trust plc ("Baring Stratton")

The second Extraordinary General meeting of Baring Stratton
in connection with the proposed unitisation of the Company
was held today and all the resolutions were passed.
Accordingly, the unitisation proposals will now become
effective.

In accordance with the unitisation proposals, for every 100
Baring Stratton Ordinary Shares held, a shareholder will
receive either:

193.8 Units in Baring Portfolio Fund; or
191.8 Units in Baring Global Growth Trust; or
495.6 Units in Baring Global Bond Trust;

or any pro rata combination of such amounts in accordance
with their elections.  Contract notes will be dispatched to
shareholders on Monday 23rd February, 1998.

In respect of those shareholders electing for Baring Global
Bond Trust and for the Redemption Option, cheques will be
posted and CHAPS payments made on Monday 23rd February,
1998.
