    CONVERSION BETWEEN SHARE CLASSES & ADMISSION OF NEW SHARES


    Conversion requests

    The table below summarises the aggregate number of shares of each class in relation to which the Company has received requests to
convert such shares into shares of another class with effect from 1 April 2007 (the "Conversion Day").

    From GBP Shares to EUR Shares        : 7,500

    From GBP Shares to US$ Shares        : 35,000

    From EUR Shares to GBP Shares        : 1,021,855

    From EUR Shares to US$ Shares        : 52,000

    From US$ Shares to GBP Shares        : 3,150,000

    From US$ Shares to EUR Shares        : 0


    Conversion ratios

    The net asset value per share of each class as at the Conversion Day was as follows:

    £1.1732 in the case of Sterling Shares

    EUR1.1382 in the case of Euro Shares

    $1.1648 in the case of US$ Shares


    The spot currency conversion rates as at the Conversion Day were as follows:
    £1:EUR1.2565, £1:US$1.9837, EUR1: £0.7957, EUR1:US$1.5788, US$1:£0.5041, US$1:EUR0.6334


    On the basis of the above, the conversion ratios are as follows:

    1.295067 Euro Shares for every one Sterling Share

    1.998000 US$ Shares for every one Sterling Share 

    0.772117  Sterling Shares for every one Euro Share

    1.542731 US$ Shares for every one Euro Share

    0.500499 Sterling Shares for every one US$ Share

    0.000000 Euro Shares for every one US$ Share


    Results of conversion

    With effect from 1 April 2008, the issued share capital (including 198,000 Sterling shares held in Treasury) of the Company will be as
follows:

    Sterling Shares:    137,606,662

    Euro Shares:            4,612,735

    US$ Shares:        6,632,754


    Admission of new shares

    Application has been made for 2,323,063 Sterling Shares to be listed on AIM by Anson Fund Managers Limited. It is expected that such
listing will become effective and that dealings in such shares will commence on 23 May 2008.
