EBEX, EUROPEAN BETTING EXCHANGE, APPOINTS EXECUTIVE MANAGEMENT TEAM

CES Software plc ("CES") and BETandWIN.com Interactive Entertainment AG
("BETandWIN"), partners in the European Betting Exchange "Ebex", are pleased to
announce today the appointments of Gunter Schmid as Chief Executive Officer, and
Simon Bold as President and Chief Operating Officer.

About Gunter Schmid
As Chief Executive Officer, Gunter Schmid will provide strategic direction and
leadership to Ebex. Prior to assuming the role of CEO at Ebex, Gunter Schmid was
managing partner at a Munich based investment boutique, Kapsner & Schmid, where
he acted as adviser on several gaming and IT transactions. He has held
management positions in companies in start up or restructuring situations.
Gunter Schmid has considerable capital raising and financial markets experience
and was responsible for structuring some of Germany's largest leveraged buy-outs
and financial transactions at Apax Partners. Gunter Schmid began his corporate
career at McKinsey & Company and has a P.h.D. in Physical Chemistry from the
Massachusetts Institute of Technology.

About Simon Bold

As President and Chief Operating Officer, Mr Bold will oversee Ebex's day to day
and market making operations. Simon has more than 26 years experience in the
international betting industry. As founder and main shareholder of
Liverpool-based Mawdsley Bookmakers (more than 40 betting offices), he was the
first to introduce large-scale betting via "debit card" in 1989. Simon is well
known and respected within the UK betting and gaming industry and served as Vice
Chairman of the British Betting Office Association until moving to Gibraltar in
November 1999. After he was granted a betting licence by the Government of
Gibraltar, he set up Simon Bold (Gibraltar) Ltd. operating telephone and
internet betting. In the summer of 2001, BETandWIN.com Interactive Entertainment
AG acquired 100% of Simon Bold (Gibraltar) Ltd. Since then, he has been the
managing director of BAW International Ltd.

Ebex, jointly controlled and majority owned by CES and BETandWIN, is being
launched with a view to it becoming the leading European betting exchange.
Exchange betting has grown rapidly and is believed to have the potential to
become the largest sector in online gaming.

Ebex is seeking to attain a leadership position in Continental Europe as it will
combine CES's market leading exchange betting technology with BETandWIN's
marketing strength and comprehensive understanding of European sports bettors.
Additionally, discussions are currently underway with a select number of leading
European bookmakers to provide liquidity to the Ebex platform under the Ebex
brand.
