CES Software plc - AGM Statement

At the Annual General Meeting of CES Software Plc ("the Company") the following
statement will be made

"The Board believes that 2004 has seen the group make significant strides
towards becoming a leading person to person gaming technology provider.

Person to Person Skill Gaming Acquisition and Related Financing

As announced previously the Company recently entered into a conditional
agreement to purchase the SkillJam business (www.skilljam.com), a leading
provider of diversified fee-based skill gaming solutions, for USD $8 million
(approximately #4.34 million), plus a share of revenues from future European
operations on a declining scale over 5 years. SkillJam's gaming offerings
include pay-per-play and subscription-based gaming products such as skill-based
online games and downloadable deluxe games which provide multiple revenue models
for the business and its network of premier affiliate distribution partners.

The acquisition is being financed through a placement of a mix of special
warrants and ordinary shares. The financing was led by CIBC World Markets and
Canaccord Capital (Europe) Ltd. The acquisition and placing are expected to be
completed on 30 July 2004 subject to the passing of the special resolutions at
today's Extraordinary General Meeting of the Company.

Person to Person Exchange Betting

In 2004, management has focused on moving the group from a development phase
towards commercialisation of its technology. To this end, management has
expended considerable effort in establishing a European betting exchange with
BETandWIN Interactive Entertainment AG, a leading interactive bookmaker in
Europe. While initial progress in setting up the exchange has been slower than
anticipated, preparations are now for a launch of the exchange towards the end
of 2004.

Additionally, the group has continued to work at developing relationships with
new potential licensees and will continue to seek to establish relationships
with strong regional gaming operators going forward.

Strategy - Looking Ahead

The Board believes that the person-to-person skill gaming and exchange betting
businesses are complementary to one another, and closely aligned, and that by
expanding its range of person-to-person product offerings, the group is better
positioned to capitalise on the significant potential of the person-to-person
gaming market. In the remainder of 2004 and beyond, the group will continue to
focus on its core strategy of delivering the best person-to-person gaming
experience to end users in regulated markets.
